1. Agreement to Terms

By accessing and using XYZ Agency's services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

XYZ Agency provides the following services:

• Full-Stack Web Development
• Mobile Application Development
• SaaS Development and Implementation
• AI Integration and Development
• Cloud Infrastructure and DevOps
• Technical Consulting and Support

3. Project Terms

3.1 Project Scope

All projects begin with a detailed scope definition and written agreement. Changes to the project scope may result in additional fees and timeline adjustments.

3.2 Timeline

Project timelines are estimates and may vary based on project complexity, client feedback, and resource availability. We commit to transparent communication regarding any timeline changes.

3.3 Client Responsibilities

• Provide necessary content and materials in a timely manner
• Respond to requests for feedback within agreed timeframes
• Ensure payment according to agreed schedule
• Maintain clear communication throughout the project

4. Payment Terms

4.1 Payment Schedule

Unless otherwise agreed, our standard payment schedule is:

• 50% deposit upon project commencement
• 25% at project milestone (typically mid-point)
• 25% upon project completion and delivery

4.2 Late Payments

Late payments may result in project suspension and additional fees. We reserve the right to charge interest on overdue amounts.

4.3 Refunds

Refunds are considered on a case-by-case basis. Work completed and delivered is generally non-refundable.

5. Intellectual Property

5.1 Client Ownership

Upon full payment, clients receive full ownership of custom work created specifically for their project, excluding any third-party components or pre-existing intellectual property.

5.2 Third-Party Components

Projects may include third-party libraries, frameworks, or services subject to their respective licenses and terms.

5.3 Portfolio Rights

We retain the right to showcase completed work in our portfolio unless specifically restricted by confidentiality agreements.

6. Confidentiality

We maintain strict confidentiality regarding all client information and project details. This confidentiality extends indefinitely beyond the completion of our working relationship.

7. Warranties and Disclaimers

7.1 Service Warranty

We warrant that our services will be performed with professional skill and care. We provide bug fixes and technical support for 30 days after project delivery.

7.2 Limitation of Liability

Our liability is limited to the total amount paid for services. We are not liable for any indirect, incidental, or consequential damages.

8. Termination

8.1 Termination by Client

Clients may terminate projects with 14 days written notice. Payment is due for all work completed up to the termination date.

8.2 Termination by XYZ Agency

We may terminate projects for non-payment, scope creep beyond reasonable limits, or unprofessional conduct.

9. Force Majeure

Neither party shall be liable for any failure or delay in performance under this agreement due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, or government actions.

10. Governing Law

These terms are governed by the laws of Delaware, United States. Any disputes will be resolved through binding arbitration in Delaware.

11. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting. Continued use of our services constitutes acceptance of modified terms.
